Corporate governance in open capital companies: a contribution of the information science for the strategic information management

Abstract

Corporate governance can be understood as management mechanisms assembly, that through external and internal controls are going to reduce the distance between minority stakeholders and the control power of the company. The subject possessed relevance by the growing idea of that governance practices affect the performance of the companies in his business in stock exchange. Such result occurs due to adoption of practices that lead specially in consideration the management strategic, external and internal information that the establishment of the good communication, quick, clear and voluntary, in order to establish a confidence climate in the relation of the company with the society, creditors, collaborators and specially with investors. In Brazil, the model created by the stock exchange of São Paulo called of 'new market', brings in his additional conduct rules purpose to them required by the Brazilian legislation and possessed like base the equity in the handling between part, the transparency in the disclosure of information and responsibility in the installment count. Key fact of this research is in the technological question employed for the cycle management carried out by the prominent information generated by the company, in what plays the collection, handling and use of information. Being like this, this project has like objective evaluate the mechanisms of governança, as well like of that way the strategic information management is capable of exercise influence about the posted value and the profit value of the companies.
